Khimgrad to acquire 100% of the state shares in the authorized capital of UzAuto TRAILER

Tashkent, Uzbekistan (UzDaily.com) — Russia’s “Technopolis Khimgrad” Innovative industrial park-technopark of high technologies” will acquire 100% of the state shares in the authorized capital of UzAuto TRAILER, the State Assets Management Agency said in a statement.

The agency noted that the sum of the deal is 561.1 billion soums.

During the transaction process, Mosaic Financial acted as privatization consultant of UzSAMA, the independent appraisal of 100% state share was conducted by the international appraisal company PricewaterhouseCoopers LLC.

The agency said that six Expression of Interest applications were received from investors from Europe, the CIS, and Uzbekistan.

It has been analyzed that applicants do not have administrative, arbitration, or other legal processes that can prohibit the applicants from participating in the privatization process and are not included in the sanction lists of the European Union and the United States, as well as large international financial institutions.

All applicants have passed to the next stage of the privatization process, in which they had an opportunity to learn analytical information about the Enterprise in order for them to prepare Non-binding Offers (NBO).

By 17 October 2022, 5 applicants submitted Non-binding Offers (NBO) and those were found to have the resources to finance the non-binding price offer proposed to the Consultant. All the applicants passed to the stage of submission of Binding Offers (BO).

At this stage, the applicants were granted access to the virtual data room (VDR), where they have access to the due diligence reports on the financial, tax, legal and environmental activities of the Enterprise prepared by the Consultant. At the same time, All the applicants had a chance to organize meetings with the management of the Enterprise.

Thus, based on the results of studying the binding offers received for compliance with qualification requirements, work experience in the region, the terms of closing the Transaction, and providing the best purchase price exceeding the independent appraisal of the Enterprise, JSC “Technopolis Khimgrad” Innovative industrial park-technopark of high technologies” was selected as the winner of the international tender.

JSC “Technopolis Khimgrad” is an industrial park located in the city of Kazan. The total area is 131 hectares, and the design area of buildings and structures exceeds 500,000 square meters. Residents of the industrial park are small and medium—sized businesses engaged in low-tonnage chemistry, polymer processing, nanotechnology, resource conservation and energy efficiency, and medical equipment.

In March of this year in Chirchik, Tashkent region, in cooperation with the Technopolis Khimgrad, the Chirchik Chemical-industrial Technopark was launched.

“UzAuto TRAILER” was established on 4 June 2012 in Jomboy of Samarkand region. The company produces trailer equipment and suspension equipment for various trucks (chassis). The design capacity of the enterprise is up to 3000 units: 2000 units of semi–trailers and 1000 units of suspended equipment, production of a wide range of vehicles, including dump trucks, semi-trailers, container ships, awning bodies, insulated semi-trailers and vans for supplying various sectors of the national economy. The authorized capital is 156.3 billion soums.
